MyTeeVee Terms of Service Welcome to the MyTeeVee LLC website. We’re glad you’re here and we hope you enjoy everything we have to offer. These Terms govern your use of this website. You automatically agree to these Terms and to our Privacy Policy simply by using our site or any of the services we offer on our site (collectively, the “Services”). If you promise to read these Terms carefully, we promise to keep the legal language down to a minimum. A. Your Account You must create an account and specify a password in order to use the Services. To create an account, you must at least 18 years old, and you must provide truthful and accurate information about yourself. Don’t try to impersonate anyone else when you create your account. If your information changes at any time, please update your account to reflect those changes. Please keep your password confidential. If you believe that your account has been compromised at any time, contact us immediately by sending an e-mail to support@myteevee.co. We’ll try to help. B. Content You Post We sponsor various contests, host a marketplace where you can buy and sell things, and offer other opportunities in which you can submit text, photographs, videos, audio, or other content (collectively, “Content”). You can only submit Content if you own all the rights to that Content, or if another rights holder has given you permission. Please read the Official Rules of any contest you enter for detailed requirements and restrictions. You do not transfer ownership of your Content simply by posting it. However, when you submit Content, you do grant us certain rights to display and use the Content. Without those rights, we couldn’t offer our Services. Please read the Official Rules of any contest you enter for more details about what rights you grant us. Keep in mind that if you send us any information, ideas, suggestions, or other communications to us, those communications will not be confidential. Moreover, unless we tell you otherwise, we reserve the right to reproduce, use, disclose, and distribute such communications without any obligation to you. You agree to indemnify, release, and hold us harmless from any all liability, claims, actions, loss, harm, damage, injury, cost or expense arising out of any Content you post. So don’t post anything that’s going to lead to trouble. C. Content Posted by Others We are not responsible for, and do not endorse, Content posted by any member. Accordingly, we may not be held liable, directly or indirectly, for any loss or damage caused to you in connection with any Content posted by another member. If you think anyone is acting inappropriately, please contact us by sending an e-mail to support@myteevee.co. D. Your Market Your Market is a place where MyTeeVee members can buy and sell goods and services. There are a few things you should know about Your Market: 1. Who’s Responsible for What Although we provide a place where members can buy and sell goods and services, we aren’t responsible for those goods and services, and we don’t play any part in the transactions. If you have an issue related to a transaction with another member, you should resolve that issue directly with the member. Don’t drag us into it. If you’re selling something, make sure that you accurately describe what you’re selling (including all costs and fees) and that you aren’t violating any laws by selling it. You can only sell things you own, so don’t sell something on behalf of anyone else. Instead, they can set up their own account to sell it. Don’t use any automated system to post a listing. Lastly, please make sure you deliver what you’re selling promptly after you’ve received payment. If you buy something, your job is easy — please make sure you pay the seller promptly. 2. Posting Rules To make things easier to find, we’ve created categories for listings. Please don’t post the same (or substantially similar) Content in more than one category or more than once in any 48-hour period. Please just post the Content in the category that is most relevant. For example, if you offer acting classes or Final Cut Pro training, post that in the “teachers/instructors” category of the “For Hire” section, not in a “For Sale” category. We reserve the right to move Content to another category, if we think it is more appropriate, and to take Content down at any time. We prohibit affiliate marketing on Your Market. You may not post Content or communicate with other members for purposes of affiliate marketing. Keep in mind that when you post something, other members will be able to contact you about it, so be careful what information you make public. 3. Flagging Content If you think any Content in Your Market is inappropriate, you can flag it, and we’ll look into it. Please don’t abuse your power, though. Don’t flag something unless you have a personal good-faith belief that the Content violates these Terms, and don’t encourage other people to flag Content. You may only flag Content one time, and may not use any automated means to flag Content. E. Be Nice Our philosophy is pretty straightforward: “Be of Service. Be Constructive. Collaborate and Create.” We hope that you share that philosophy, too. Accordingly, we ask that you not use the site in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with the administration of any Contest or any feature on the website (including any technological measures we employ to enforce these Terms). It should be common sense, so we won’t bore you with a list of things you shouldn’t do. But if we (in our sole discretion) determine that you have acted inappropriately, we reserve the right to take down Content, terminate your account, prohibit you from using the website, and take appropriate legal action. Don’t make us go there. F. Modifications and Termination We are constantly changing and improving our Services. We may add or remove functionality or features, and we may suspend or stop a service altogether. We also reserve the right to charge a fee for any of our Services. You can stop using our Services at any time, although we’ll be sorry if you do. G. MyTeeVee Trademarks and Copyrights We won’t steal your stuff, so don’t steal ours. All trademarks, logos, and service marks displayed on the website are registered and unregistered trademarks of MyTeeVee and/or third parties who have authorized their use (collectively the “Trademarks”). You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Trademarks in any way. All of the materials on the website are copyrighted, except where explicitly noted otherwise. We will enforce our intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution, if necessary. H. Copyright Protection If you believe any Content on the website infringes your copyrights, you may request that remove the Content from the website (or disable access to that Content) by contacting us and providing the following information: Identification of the copyrighted work that you believe to be infringed. Please describe the work and, where possible, include a copy or the location (e.g., URL) of an authorized version of the work. Identification of the material that you believe to be infringing and its location. Please describe the material, and provide us with its URL or any other pertinent information that will allow us to locate the material. Your name, address, telephone number, and e-mail address. A statement that you have a good faith belief that the complained of use of the materials is not authorized by the copyright owner, its agent, or the law. A statement that the information that you have supplied is accurate, and indicating that “under penalty of perjury,” you are the copyright owner or are authorized to act on the copyright owner’s behalf. In an effort to protect the rights of copyright owners, we maintain a policy for the termination, in appropriate circumstances, of members who are repeat offenders. I. Our Warranties and Disclaimers We provide our Services using a commercially reasonable level of care and promise to do our best to make sure you enjoy the Services. But there are certain things that we don’t promise about our Services, which is why the next few paragraphs are in ALL CAPS. OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OF SERVICE, NEITHER MYTEEVEE NOR ITS AGENTS OR SERVICE PROVIDERS (THE “WEBSITE ENTITIES”) MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES “AS IS”. SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES. The Website Entities are not responsible for any goods or services sold on Your Market or the failure of any member to pay for or deliver those goods and services. If you have any issues with a transaction on Your Market, you should contact the buyer or seller. J. Liability for our Services EXCEPT WHERE PROHIBITED, THE WEBSITE ENTITIES shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the SERVICES, ANY THIRD PARTY’S USE OF THE SERVICES, any transactions on your market, or any goods or services purchased on your market. These exclusions include, without limitation, damages for lost profits, lost data, COMPUTER FAILURE, OR THE VIOLATION OF YOUR RIGHTS BY ANY THIRD PARTY, EVEN IF THE WEBSITE ENTITIES have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based K. Additional Details Now, that we’ve gotten the ALL CAPS stuff out of the way, we have a few final details. We may modify these Terms at any time. If we do, we’ll post a notice on this page, so that you’ll know what’s changed. Be sure to check back regularly. By continuing to use a Service after these Terms have changed, you indicate your agreement to the revised Terms. If you do not agree to the changes, you should stop using the Services. If there is a conflict between these terms and any terms set forth in the Official Rules for a contest, the terms in the Official Rules for the contest will control as they relate to that contest. This website may contain links to third-party websites. That doesn’t mean that we control or endorse those websites, or any goods or services sold on those websites. If you do not comply with these Terms, and we don’t take action right away, this doesn’t mean we’re OK with what you did, or that that we are giving up any rights that we may have (such as taking action in the future). These Terms are governed by and construed in accordance with the laws of California, without regard to its conflict of laws rules. You expressly agree that the exclusive jurisdiction for any claim or dispute under these Terms and or your use of the website resides in the courts located in California, and you further expressly agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action. If it turns out that a particular provision in these Terms is not enforceable, that will not affect any other provision.
